Flash floods have devastated communities across Nepal, damaging homes, roads, bridges and critical infrastructure. Solana and mallow have teamed up to auction off space on the official Solana X account's profile picture to help with the relief effort. All proceeds go to the Government of Nepal's Prime Minister Disaster Relief Fund.

Solana X Account PFP Brand Auction — In Aid of Nepal Relief

1. The Initiative

This auction (“Auction”) is run by Solana Foundation (“Foundation”). The Auction website and bidding infrastructure are powered by mallow (“mallow”, “we”, “us”). By placing a bid you agree to these Terms & Conditions.
The Auction offers nine (9) placement zones on the official Solana X (Twitter) account profile picture. Winning bidders will have their brand logo displayed in their won zone(s) on the Solana PFP, and on the account’s pinned tweet, for a period of one (1) week following the Auction’s conclusion.

2. Eligibility & Bidding

Bids are placed in USDC via connected wallet.
You may bid on and win any or all of the nine available zones.
Bids are binding and cannot be withdrawn once placed.
If you are outbid on a zone, your bid amount is automatically and promptly returned to your bidding wallet.
The highest bid on each zone at the moment the Auction closes wins that zone.
Anti-sniping extension: any bid placed on a zone within the final two (2) minutes of the Auction will extend the closing time for that zone by a further two (2) minutes. This may repeat multiple times and will continue until two minutes pass with no new bid on that zone. Zones may therefore close at different times from one another.
All bid funds are held in escrow until the Auction completes.

3. Artwork Requirements

Artwork (brand logo/imagery) must be uploaded as part of placing a bid, in the format specified on the Auction website. A bid cannot be placed without accompanying artwork.
NSFW / not-safe-for-work artwork is strictly prohibited in the final published image, given the public-facing and charitable nature of this initiative. This includes (without limitation) sexually explicit, graphically violent, hateful, or otherwise offensive imagery.
By submitting a bid, you represent and warrant that you own or have the right to use all content you submit, including any artwork, brand name, email address, and X (Twitter) account provided, and that such submission does not infringe any third party’s intellectual property or other rights.
You must not submit any artwork, brand name, or account that impersonates, or could reasonably be mistaken for, another individual, brand, project, or organization that you do not represent.
Once the Auction closes, the Foundation will review the artwork of each winning zone for compliance with the NSFW restriction above. If a winning bidder’s artwork is found to breach that restriction, the bidder will be notified and given twelve (12) hours to upload a replacement.
Any request for resubmitted artwork will be sent to the email address provided by the bidder at the time of bidding. It is the bidder’s responsibility to ensure this email address is correct and monitored.
If no compliant replacement is received within that 12-hour window, the Foundation reserves the right to publish a censored or blurred version of the artwork on the final Solana PFP image, at its sole discretion, without further notice or liability to the bidder.
Rejection of artwork does not entitle the bidder to a refund or bid withdrawal.

4. Proceeds & Donation

100% of Auction proceeds are donated to the Nepal Relief Fund.
At the conclusion of the Auction, mallow will receive the final proceeds, convert them to USDC on Ethereum, and transfer the donation to Engage Nepal, a US-based 501(c)(3) charitable organization, for onward donation to the Government of Nepal’s official Prime Minister Disaster Relief Fund, via nepalrelief.org.
A link to the donation transaction will be posted from both the Solana Foundation X account and the mallow X account as part of the Auction recap.
The Solana Foundation and mallow labs LLC are not affiliated with, endorsed by, or acting on behalf of nepalrelief.org or the Government of Nepal's Prime Minister Disaster Relief Fund (pmdrf.nchl.com.np). Neither the Foundation nor mallow labs LLC makes any representation or warranty regarding either organization, website, or the administration, use, or distribution of funds following any donation.

5. No Refunds

Except as set out in Section 2 (outbid refunds), all bids are final. No refunds will be issued for winning bids, including where artwork is rejected under Section 3 and no compliant replacement is provided in time.

6. Placement & Display

Zone placements are as displayed on the Auction website at the time of bidding and are not guaranteed to be identical in final on-screen size, position, or prominence across all platforms or devices.
The Foundation reserves the right to determine the final composited image and pinned tweet content, acting reasonably and consistently with the zones won.
The one-week display period runs from the date the Foundation updates the official Solana X account PFP following the Auction’s conclusion, and may be affected by X/Twitter platform limitations outside the Foundation’s or mallow’s control.

7. Limitation of Liability

Neither the Foundation nor mallow shall be liable for any indirect, incidental, or consequential loss arising from participation in the Auction, including but not limited to loss arising from platform outages, wallet errors, or delays in artwork submission or PFP updates.

8. Changes to These Terms

The Foundation and mallow reserve the right to update these Terms at any time. Material changes will be reflected on this page with an updated “Last updated” date.
